GLEN GOLF CLUB, CONSTITUTION AND RULES NAME OF THE CLUB
OBJECTS
MEMBERSHIP 3. Classes The Club shall consist of Honorary Life, Honorary, Ordinary, 5-Day, Country, Junior, Non-Playing, Temporary and Affiliated Members as may be elected or admitted as hereinafter provided. Applicants for Membership, other than Junior Membership, shall not be elected or admitted until they have attained the age of 18. Rules and Regulations regarding Junior Membership are set out in Appendix (2).
The number of Ordinary Members and Life Members shall not exceed 680. This number must always exceed the combined total of Members from all other categories. The whole heritable and moveable property of the Club shall belong to the Ordinary Members, Honorary Life Members and Honorary Members equally during Membership but the rights and interest of every Ordinary Member, Honorary Life Member and Honorary Member shall be personal and limited to the Member, shall expire with his Membership and shall not be assignable or arrestable or pass to his executors or successors. 5(a) Life Members The number of Life Members shall not exceed 30. Life Members shall not pay annual subscriptions or levies. Life Members shall have the rights and privileges of Ordinary Members and where reference is made in this Constitution to Ordinary Members such reference shall include Life Members. 6. Honorary Life Members It shall be competent for two-thirds of the Ordinary Members present and voting at a General Meeting to confer upon any person the distinction of Honorary Life Membership in recognition of their renown as a golfer or of services to the Club or in the promotion of the game of golf. An Honorary Life Member shall have the rights and privileges of an Ordinary Member. Applicants whose principal place of residence is outwith
8. 5-Day Members The Committee shall have the power to offer 5-Day Membership. The number of 5-Day Members shall not exceed 150. Members will have no jurisdiction in the administration of the Club and will not be entitled to vote at General Meetings of the Club On payment of a Non-playing Membership subscription, Non-playing Members will have full use of Clubhouse facilities but will have no jurisdiction in the administration of the Club and will not be entitled to vote at General Meetings of the Club. The total number of Non-playing Members shall not exceed 200. Holders of a current green ticket are entitled to the use of the Clubhouse subject always to the Club’s Rules, Regulations and Bye-Laws.
Full green fee paid members of the Rhodes Golf Club may be elected or admitted Affiliated Members of the Club on payment of the appropriate subscription. The total number of such Affiliated Members shall not exceed twenty. Such Affiliated Members will have no jurisdiction in the administration of the Club and will not be entitled to vote at General Meetings of the Club.
Ladies may be elected or admitted Ordinary Members of the Club. Lady Members shall be subject always to their own Rules, Regulations and Bye-Laws subject always to the Club’s Rules, Regulations and Bye-Laws.
It shall be competent for two-thirds of the Ordinary Members present and voting at a General Meeting to confer on any Ordinary Member the distinction of Honorary Membership. The Captain and Match Secretary shall be admitted Honorary Members of the Club for the duration of their period of Office. An Honorary Member shall have the rights and privileges of an Ordinary Member. Any member who has served as an honorary member of the Club for a period of 50 years shall be exempt from payment of any further subscription or additional levies and shall have the same rights and privileges as an Ordinary Member.
Full-time employees of the Club and employees of contracted organisations who are wholly employed at the Club may be elected or admitted Affiliated Members of the club on payment of the appropriate subscription. Such Employee Affiliated Members, with the exception of the Secretary/Treasurer, will not be entitled to attend General Meetings of the Club for the duration of their period of employment.
14a Existing Ordinary, Honorary and Honorary Life Members over the age of 50 are eligible to join the Glen Seniors section and will be subject to their own Rules, Regulations and Bye-Laws subject always to the Club’s Rules, Regulations and Bye-Laws.
The election and admission of all Classes of Members shall be in the hands of the Committee, who shall have the power to reject any nomination, and shall be by ballot. Candidates shall be admitted at a Meeting of the Committee by a majority of those present and voting. The names and addresses of persons proposed and seconded as Members of the Club shall be displayed in a conspicuous place on the Club Notice board for at least fourteen days before the Meeting of the Committee at which their application will be considered. Candidates for admission as Members must be nominated by two Ordinary Members of at least one year’s standing, at least one of whom must personally know the candidate.
The entry fee payable by candidates for admission to any class of Membership shall be such sum as fixed by the Committee. The names of candidates may only be entered on the Waiting List, if any, for any class of Membership on payment of the requisite fee, which shall be non-refundable.
The Club shall be managed by a Management Committee consisting of the Captain and Vice-Captain plus six Ordinary Members. Five Members of the Management Committee shall form a quorum for a meeting. Retiring Captains will be ex-officio Members of this Committee for a further twelve months after leaving office. In addition, a Match Secretary shall be elected. The Match Secretary shall preside over a Match Committee consisting of the Match Secretary, one representative of the Management Committee and two Ordinary Members. The Match Secretary may appoint the two Ordinary Members to serve on the Committee. The Match Committee shall be responsible for golf competitions, handicaps and other aspects relative to golf, subject to the approval of the Management Committee.
The Captain, Vice-Captain and Committee shall be elected for not less than one year by a simple majority of Ordinary Members of the Club present and voting at the Annual General Meeting. The Captain shall be elected for a term of office of two years. The Vice-Captain shall succeed him as Captain subject to proper nomination and the approval by simple majority of Ordinary Members of the Club present and voting at the Annual General Meeting. The Ordinary Members of the Committee shall hold office for three years, shall retire in rotation, and shall not be eligible for re-election until one year has elapsed. Such retiring Ordinary Members of the Committee shall be eligible for election as Captain or Vice-Captain. Only Ordinary Members of the Club are eligible to hold office and to vote at Meetings of the Club. Any vacancy occurring in the course of the year shall be filled by the Committee at their discretion, and the Member co-opted shall hold office until the next Annual General Meeting. Any two Ordinary Members, each of one year’s standing, may nominate another Ordinary Member for a position as Office-Bearer or Committee Member. Nominations in writing shall be received by the Secretary at least twenty-one days prior to the date of the Annual General meeting.
The Committee shall have the control and management of the business and affairs of the Club and shall have power to make Regulations. The Committee may appoint Sub-Committees for any special purposes, the Captain to be an ex-officio Member of all such Sub-Committees. The Committee shall have the power to co-opt a maximum of two Ordinary Members, not being Members of the Management Committee, to serve on each of such Sub-Committees. The proceedings of all Sub-Committees shall be reported at the next meeting of the Committee.
The Committee shall hold meetings from time to time as may be required for the despatch of all competent business. A meeting of the Committee shall be called by the Captain at any time, and the Secretary shall be bound to call such on a written requisition addressed to him by any three Members of the Committee.
The Club’s Financial Year shall run from 1st December to 30th November each year. The Annual General Meeting shall be held between 1st December and 28th February. The date of the Meeting shall be fixed by the Committee. A Special General Meeting may be called at any time by the Committee. The Committee shall be bound to call such a Special General Meeting which shall be held within 28 days of receipt of a written requisition subscribed to by no fewer than 20 Ordinary Members and addressed to the Captain or the Secretary and stating clearly the terms of the Motion to be proposed. Only the business specified in the said Motion convening the Special General Meeting may be transacted. At least eight days notice of all Meetings, and of the business to be discussed thereat, shall be given to each Member. Notice to Members shall be deemed to have been served the day after posting. At such Meetings forty Ordinary Members shall form a quorum. In the event that there are insufficient numbers of Ordinary Members to form a quorum, the Committee shall have the power to call a further General Meeting at which twenty Ordinary Members present shall form a quorum. Such further General Meeting shall be held no sooner than 14 days after the date of the first General Meeting. Only Ordinary Members shall be entitled to vote at Meetings of the Club.
The Captain shall be the Chairman of all Meetings, and in his absence the Vice-Captain, and in his absence a Member of the Committee elected by the Meeting, and in the absence of all the Committee the Meeting shall elect a Chairman. The Chairman shall have a casting as well as a deliberate vote.
All Ordinary Members of the Club shall have the right to vote at General Meetings of the Club even if they are unable to be present in person. Any Ordinary Member exercising his right under this Clause shall do so by letter addressed to the Secretary, stating clearly his vote in respect of the motion(s) set out in the Notice calling such General Meetings, to reach him not later than 24 hours before the date of the General Meeting in question. In calculating a quorum of a General Meeting, no count can be taken of those Ordinary Members who have exercised their voting right under this clause.
24. STAFF The Committee shall appoint suitable staff as necessary for the activities and functions of the Club.
The Committee shall have the power to engage a Secretary/Treasurer at such remuneration and other conditions of employment as they deem fit. The Secretary/Treasurer shall be responsible for the conduct and management of the affairs of the Club subject to the directions of the Committee.
The Secretary/Treasurer shall be responsible for the lodgement of monies in the name of the Club in Bank, Building Society or Deposit Accounts operated by substantial United Kingdom Financial Institutions as approved by the Committee. All cheques on the Club’s Current Account and withdrawals from Deposit Accounts must be signed by any two of the Captain, Vice-Captain, Finance Convenor and Secretary/Treasurer.
Provided that the approval of Members at a duly convened General Meeting of the Club has first been obtained, the Management Committee shall have power to borrow money on behalf of the Club and all documents in connection with the said borrowing shall be signed by the Trustees and shall be binding on the Club and the whole Membership thereof.
The Trustees of the Club shall consist of the Captain, Vice-Captain and two Ordinary Members of the Management Committee, such two Ordinary Members to be appointed by the Management Committee. The property of the Club shall be held in the names of the Trustees for the time being.
An Auditor shall be appointed each year by Members of the Club at the Annual General Meeting. In the case of a vacancy arising during the year, an Auditor for that year shall be appointed by the Committee. The Auditor shall not be an Office-Bearer or Committee Member.
Subscriptions shall become due on 31st March in each year for the following year. The subscriptions payable by Members shall be fixed by the Committee. The annual increase will be no more than £10.00 or 6% of the previous year’s subscription whichever is the greater. Any proposed increase above these amounts will require to be approved by the Members at a General Meeting of the Club. For new members joining after February 2009, the subscription shall become due on the annual anniversary of their joining the Club.
All Members must pay their subscriptions by 31st March at the latest. If not paid by this date the Membership shall be withdrawn. For those members joining after February 2009, their subscription must be paid within one calendar month of the anniversary of their joining date at the latest. If not paid at that date, the membership shall be withdrawn.
Any Member wishing to resign must give written notice to the Secretary before 31st March failing which he or she shall be liable to pay the subscription for the year commencing on that date. Any member joining after February 2009 who wishes to resign must give written notice of resignation prior to the anniversary of their joining the Club, failing which he/she shall be liable to pay the subscription for the year commencing on that anniversary date.
If the conduct or behaviour of any Member either in or out of the Club premises shall in the opinion of the Committee be injurious to the character or interest of the Club or endanger the good order of the Club or if any Member shall wilfully disobey an order of the Committee communicated to him or her it shall be in the power of the Committee to recommend such Member to resign. If said Member does not resign within a period of 14 days from the date of the letter of recommendation, the Committee shall have the power to expel such Member provided always that such expulsion shall not be made until said Member whose conduct is under consideration is afforded an opportunity of appearing in person and giving an explanation of his or her conduct to the Committee. In the event of the Committee, by a two thirds majority of those present, being of the opinion that such a Member should be expelled immediately from the Club without prior formality, they shall have power to expel such Member from the Club at once. If the Member whose conduct is under scrutiny resigns when given the opportunity, his or her subscription for the current year (if any) shall not be returned. A Member so resigning or expelled, shall forfeit all right to or claim upon the Club, its property or funds and shall not be admitted to the premises as a visitor, guest or otherwise.
33a. SUSPENSION OF MEMBERS The Management Committee shall have the power to suspend a member for a period not exceeding twelve months. Before taking this action, the Member must be given the right to a hearing before the Management Committee and if they wish, to be accompanied or represented.
A visitor shall not be supplied with alcoholic liquor in the Club premises unless on the invitation of, and in the company of, an Ordinary Member, and such Member shall upon the admission of such visitor to the premises enter his or her name and the name and address of the visitor in a book which shall be kept for the purpose and which shall show the date of each visit. No alcoholic liquor shall be sold or supplied for consumption outside the premises of the Club, except to a Member on the premises, and for his or her own consumption, or to a person holding a licence for the sale of such liquor. No alcoholic liquor shall be sold or supplied to any person under eighteen years of age. No Member of the Committee nor Manager nor Servant employed in the Club shall have any personal interest in the sale of alcoholic liquor therein or in the profits arising from such sale.
A Member by paying his or her entry fee and subscription thereby submits to the Rules, Regulations and Bye-Laws of the Club, and on these conditions alone is entitled to the advantages and privileges of Membership of the Club. Every Member shall be furnished with a copy of the Rules and Regulations but no member shall be absolved from their effect on any allegation of not having received a copy. All Regulations and Bye-Laws made by the Committee and Orders given by them or by their Sub-Committee for the general comfort and convenience of the Members shall be placed on a Club Notice Board and shall be binding on every Member until altered or rescinded by a General Meeting.
All complaints must be made in writing to the Secretary and signed by the persons complaining: and none shall be attended to unless this Rule is complied with. The Secretary shall submit all such complaints to the Committee, who shall take the matter into their consideration, and they shall have the power to give such deliverance or order thereon as they consider necessary.
(1) General
Members shall be liable for any breach committed whether by themselves or their visitors, or by their own or their visitors caddies. In no case shall a Servant of the Club be reprimanded directly by a Member.
(2) Visitors No Member shall entertain in the Clubhouse more than three guests at one time without the written permission of the Secretary. Visitors shall have no power of introduction to the Clubhouse. The privilege of introducing visitors to the Clubhouse, and the visitors’ privilege of being introduced, may be withdrawn from any Member or visitor at any time at the discretion of the Committee. No person who has been balloted for and refused Membership of the Club shall be eligible for admission as a visitor to the Clubhouse.
(3) For Play The Rules shall be those of the Royal and Ancient Golf Club, St Andrews, as currently in operation. The Local Rules, as defined by the Management Committee, may be printed on the Club scorecards and/or displayed on the Club Notice Boards. The Handicaps of Members of the Club shall be determined by the Match Committee. New Members shall be required to furnish two scores marked by a Member of the Committee, or two scores when playing in Club competitions, or three scores marked and signed by a Member of the Club. Handicaps held at other Clubs shall also be submitted. Members intending to play in a Club competition must enter their names on the sheet displayed on the Club Notice Board at least three days before the date of such competition. The Members so entered shall be balloted for places and times of starting.
The foregoing Rules shall not be altered except by a resolution carried by two thirds of the Members present and voting at either the Annual General Meeting or any Special Meeting called by the Committee. Except when submitted by the Committee, notice of such resolution shall be given to the Secretary at least twenty-one days before the date of such Meeting, and in any case intimation thereof shall be given by the Secretary to the Members at least eight days before such date.
